Bridge may of Grant, or other proper county authorities, are hereby authorized to build and maintain a good and substantial free bridge across the Platte river at some point below the junction of the Big and Little Platte rivers, in said county, the expense thereof to be paid out of the county treasury of said county.

SEC. 2. The said bridge shall be constructed so as not to obstruct the main channel of said river, and the piers thereof shall be located at such distances from each other as to leave the said channel at least sixty feet in width, and raised to a height sufficient to place said bridge at least three feet above high water mark.

SEC. 3. If any person or persons shall wilfully injure, wilful injury. break, throw down, tear up, or destroy said bridge, or any part thereof, such person or persons shall for every such of fence forfeit and pay to the said county, upon conviction thereof, upon complaint of any person, the sum of fifty dollars in addition to the penalty provided in the statute for such offences, and pay all damages consequent upon such offence. SEC. 4. This act shall take effect from and after its passage.

In relation to school district number ten, in the towns of Waukesha and Pewaukee.

Be it enacted by the Council and House of Representatives of the Territory of Wisconsin:

SECTION 1.

That the acts of the commissioners of common schools, of the town of Waukesha, in forming school dis- missioners letrict number ten, in the towns of Waukesha and Pewaukee, galized. in the county of Waukesha, and also the organization of said school district, be, and the same are hereby legalized and confirmed.

SEC. 2. That it shall and may be lawful for the trustees of said school district, to levy such additional tax for the pur- trustees. pose of finishing and paying the expenses of building the school house in said school district, (not exceeding the sum of two hundred dollars,) as a majority of the legal voters in said school district, present at a school district meeting of said school district, called by the trustees thereof, for that purpose, may vote in favor of levying. Said tax to be levied and collected as is now provided by law for the collection of school taxes.

AN ACT

To incorporate the Milwaukee and Janesville
Plank Road Company.

Be it enacted by the Council and House of Representatives of the Territory of Wisconsin:

SECTION 1. That Levi Blossom, Aaron Putnam, Emery Thayer, Thomas P. Williams, A. Hyatt Smith, and Timothy Jackman, be, and they are hereby appointed commissioners under the direction of a majority of whom subscriptions may Books opened be received to the capital stock of the Milwaukee and Janesville Plank Road Company, hereby incorporated; and they may cause books to be opened at such times and places as they shall direct, for the purpose of receiving subscriptions to the capital stock of said company, first giving thirty days notice of the times and places of taking such subscriptions, by pub lishing the same in three or more newspapers printed in Rock, Walworth and Milwaukee counties.

SEC. 2. That the capital stock of said company shall be three hundred thousand dollars, in shares of twenty dollars each; and as soon as one thousand shares of the capital stock shall be subscribed, and one dollar of each share actually paid in, the subscribers of such stock, with such other persons as shall associate with them for that purpose, their successors and assigns, shall be, and they are hereby declared and created a body corporate and politic, by the name and style of "The Milwaukee and Janesville Plank Road Company," with perpetual succession; and by that name shall have all the privileges, franchises and immunities incident to a corporation, to wit: they shall be capable in law of purchasing, holding, leasing, and conveying estate, either real or personal or mixed; and in their corporate name may sue and be sued, may have a common seal, which they may alter or renew at pleasure, and generally may do all and singular the matters

and things which they are authorized by law to do for the interest and well being of said company.

SEC. 3. That the said commissioners, or a majority of them, after the said one thousand shares of stock shall have been subscribed as aforesaid, shall give at least twenty days' notice in the newspapers herein before mentioned, of the time Directors and place of a meeting of the stockholders for the purpose of electing seven directors, who shall elect one of their number president; and annually thereafter, the said stockholders shall meet on the first Monday in July, for the purpose of electing directors as aforesaid. upon a like previous notice to ́be given by a majority of the directors for the time being, in such newspapers as they may think proper: Provided, that previous to. the first election, the commissioners hereinbefore named shall elect one of their number president, and they shall perform all the duties, and be invested with all the powers of directors: And provided, that if from any cause an election shall not be held at the regular time specified therefor, the same may be held at any other time on notice as aforesaid; that until such election, the directors of the preceding year shall continue to act, and this charter shall not be avoided by reason of the irregularity or want of such election; and in case of any vacancy in the board of directors, the same shall be filled by the other directors or a majority of them.

SEC. 4. The affairs of said company shall be managed by

a board of seven directors, who shall be stockholders and be Corporation chosen annually by ballot, by the stockholders of said compa- how managed ny, the votes to be given in person or by proxy duly authorized; which directors shall appoint one of their number president; and shall serve until others are elected in their stead. They shall make and establish such bye-laws, rules, orders' and regulations, not inconsistent with the constitutional laws of the Thited and of the territory or state of Wisconsin, as may be necessary for the well ordering of the affairs of said company. Each share' of stock shall be enti tled to one vote, and in all cases of elections for directors,

the seven stockholders having the greatest number of votes shall be declared duly elected.

SEC. 5. Five directors shall be a quorum for the transaction of business, who, in the absence of the president, may appoint a president pro tem; the said directors shall appoint a secretary, treasurer, and such engineers and other officers as they may find necessary, and fix their compensation, and may demand adequate security for the performance of their respective trusts; they shall have full power to decide the time and manner in which the said stockholders shall pay the money due on their respective shares, not exceeding twenty-five per cent. upon every ten miles of said road completed, and to forfeit to the use of said company the share or shares of every person or persons failing to pay any instalment, at a reasonable period hot less than thirty days after the time appointed for the payment thereof. They shall have power to regulate tolls; to make such corenants, contracts and agreements with any person or persons, or body politic whatsoever, as the execution and management of the works and the convenience and interests of the company may require, and in general to superintend and direct all the operations, receipts, disbursements, and other proceedings of the company. The commissioners, until the directors are chosen, shall issue certificates to each stockholder for the number of shares he or she shall subscribe for or hold in said corporation, signed by the president, and countersigned by the secretary, subject to all the payments due and to become due thereon; which stock shall be transferable in person, or by attorney, executors, administrators, guardians or trustees, under such regulations as may be provided by the bye-laws of said company.

SEC. 6. The said company shall have power to locate and construct a single or double track plank road, from such eligible point in the city of Milwaukee, by way of Big Bend, on Fox river, in Waukesha county, and East Troy, in the county of Walworth, to such eligible point in the town or village of Janesville, in Rock county, as shall be determined upon by a vote of the stockholders having a majority of the stock of said company, and who shall be represented in per
